QUARTERLY PRICE ADJUSTMENTS
The price of Iron Ore will be reviewed and/or adjusted for any market fluctuation of 10%+/- quarterly and shall be adjusted accordingly (Mutually Agreed Adjustments).

PAYMENT
All payments shall be made to the sellerâ??s bank for all material/products offered to the client. Paid in USD by
telegraphic transfer and paid FOB PORT by any of the listed terms: Irrevocable Escrow Account, Transferable
Escrow Account, Bank to Bank, MT Certificates or Documents Confirmed, revolving if necessarily, issued by
an approved G/7 bank, payable 100% to the seller bank buy a US licensed 3rd party paymaster, against
presentation of shipping and Licensed Certified Lab and/or SGS documents, paid equal to value of cargo loaded
per vessel.

Origin, Mexico, Central and South America--Effective September 1, we have opened an office in Santiago, Chile. It became imperative we needed one of our own Directors and Partners on site to confirm, verify and administer the delivery of product. We prefer to sell FOB and Ship from Pacific Ocean Ports, Please provide Ore specifications, so we can determine which mine to draw from to meet your requirements. Our first response to any inquirery will be to request a formal LOI. We are currently shipping from Chile and Honduras. Mexico has the product but difficult to work with at this time. We have an operation opening up in Baja California with two new mines and will advise when we are on stream .

Payment terms:
* 20% prepayment: The Buyer must make a prepayment of 20% of the value of the goods (5000 metric tons) within 3 working days from the date of invoice issuance. Payment is made by direct bank transfer (MT 103). This is standard practice to protect the Seller from unscrupulous buyers.
* 80% payment upon loading: The remaining 80% of the value of the goods must be paid within 72 hours from the moment the "POP" (Proof of Product) is provided, likely after inspection and before shipment. It is important that the funds are credited to the Seller's account within this period. This approach ensures that the Seller receives full payment for the goods before shipment.
Inspection:
* SGS Quality & Quantity Control at loading port: Quality and quantity control of the goods will be carried out by SGS (Soci rale de Surveillance) at the port of loading. SGS is a world leader in inspection, verification, testing and certification. This gives the Buyer confidence that they will receive the goods of proper quality and in the right quantity.
Maritime insurance:
* 110% value over the invoice value covering all risks from port to port: The goods will be insured for 110% of the value stated in the invoice. Insurance covers all risks from the port of origin to the port of destination. This protects both parties from financial losses in case of damage or loss of goods during transportation.
