Buyer makes 3% deposit by TT Wire or MT103 as guarantee to Sellers fiduciary bank account Agreed by the buyer within three (3) banking day. Payment in Chinese RMB. Seller will issue 2% PB. If the buyer fails to make the 3% payment within 3 banking days, contract will be terminated. All parties involved signed NCNDA/IMFPA 5. Upon receipt of the above payment of the 3% payment for total cost of product, the Ownership Certificate will be issued along with SGS or equivalent and Authorization to Board (ATB). 6. Upon the arrival of the vessel at discharge Port, Buyer submits ATB/ BL with the Captain on-board for DIP Test. 7. After the successful conduct of DIP Test, the vessel captain will hand over the entire original POP documents to the buyer's representative while buyer pays for the total shipment after SGS, CIQ or equivalent inspection at the discharge port via MT103, T/T Wire transfer and the re-routing fee will be deducted while offloading will commence immediately. 8. The product SGS inspection charges will be borne by the Seller at the loading port. Seller invites buyer for visitation to witness the final inspection and TTM for negotiation of the future transaction (Optional to Buyer). Seller signs NCNDA/IMFPA between all intermediaries involved with the notarized copy sent to Seller's bank 9. Loading & Shipment of the product commences as per schedule. Upon Vessels arrival and finalization of SGS at the destination port, Buyer release payment via swift fund transfer within 3 to 5 banking days to Seller for total shipment value after discharge of product at destination port and receipt of the entire relevant shipping and export documents. Transaction Procedure Fob Dip & Pay Rotterdam 1. Buyer accepts seller working procedure and issue ICPO to the End seller via Seller's representative. 2. Seller issues a commercial invoice and NCNDA and Buyer signs and returns commercial invoice on due date along with Buyer TSA. 3. The Seller issues following PPOP to buyer for evaluation: â?¢ Statement of Product Availability â?¢ Passport product analysis. â?¢ Authorization to Sell and collect (ATSC). â?¢ Letter of Guarantee Upon buyer verification and confirmation of the above PPOP Documents, buyer provide signed TTTIA with his tank company to engage injection Programming. 4. Seller provides buyer with Injection program, Fresh SGS, Injection Report and ATV (Physical Verification) with Unconditional DTA for Dip Test in seller tank for product reconfirmation before injection to buyer tank. 5. Buyer makes 100% payment by MT103 TT wire transfer for the total product and Seller pays commission to all intermediaries involved in the transaction within 24 hours after confirmation of the buyer's payment. 6. Seller issues draft SPA to the buyer to review for R&E monthly deliveries. 7. Buyer reviews and approves the SPA and issues SBLC/IRDLC irrevocable, non-transferable, auto revolving for 12 months shipment value, documentary letter of credit for length of contract and for each lift per schedule. Buyer pays after Dip Test by MT103 Wire Transfer one each monthly quantity. 8. The subsequent delivery shall commence according to the terms and conditions of the contract. 9. Seller pays commissions to all intermediaries as per IMFPA/NCNDA 24 hours after receiving payment from the buyer.

Buyer shall furnish Supplier with BG or SBLC meeting the following requirements: Type of BG or SBLC: Financial instrument to be held by the Supplier as security for payment. Confirmed by Top 50 Prime World Bank, BG or SBLC amount: the amount equal to the total price of the Product to be delivered to Buyer within the 2-month period under the Agreement, Validity period: 365+30 days, Beneficiary: Supplier, The Financial instrument can be issued on behalf of the Buyer by the third party. 2. BG or SBLC shall be issued in accordance with the following procedure: The Buyers Bank issues the letter RWA as per the format in Appendix No. 4 (from the bank email address) to the Supplier e-mail. The Supplier reserves the volume of the Product for the Buyer. The Bank of the Buyer issues the letter (Pre-Advice) (MT-799) to the Bank of the Supplier about the readiness to issue the Financial instrument BG/SBLC (MT-760). The Suppliers bank within 5 (five) bank days, after reception of the letter (Pre-Advice) about readiness of release of the Financial instrument (BG/SBLC), sends to the Buyer�¢??s bank the set of documents that form Proof of Product Capability (POPC); Within 5 (Five) banking days from the receipt of the POPC, the Buyer's Bank issues BG/SBLC MT-760 to the Bank of the Supplier (Beneficiary); Is not later than the 5 (Five) banking days from the moment of the nomination BG/SBLC of the matched size, salesman lets out in the address of buyer 2% as the guarantee of the timely delivery of Product (MT-760). 3. BG or SBLC shall provide for payment(s) for the shipped Product, as well as payment of penalties and costs to be made by Buyer under Clause 12 of the Agreement. 4. Under the terms of BG/SBLC Supplier shall be entitled to draw payments for partial shipments. 5. Each payment under SWIFT MT-103 for the shipped batch of the Product shall be made to Supplier in within 5 (Five) banking days.

Seller issue draft contract/ Commercial invoice to Buyer. Buyer sign &return to Seller 3. Seller provides Charter Party Agreement from the shipping company to transport the product to buyer destination port. Buyer sign and return to seller. 4. Buyer issue Proof of Funds via Swift MT799 to Seller Fiduciary Bank. 5. Seller issue PPOP which shall consist of the following to buyer secure email: a) A copy of License to export from Russian Ministry of Energy b) Copy of Statement of availability of Product c) Copy of Refinery commitment to produce the product d) Certificate of Origin e) Product Passport analysis Report 6. Within Five (5) banking days of receipt of the Partial POP documents, Buyer issue Standby Letter of Credit MT760 to seller's fiduciary company's bank account. If buyer could not issue SBLC MT760 within Five (5) banking days. Alternatively, buyer pay the Freight Charges to the shipping company to assure the transaction and the payment shall be deducted from the total cost of product. 7. Upon seller�?�¢??s receipt of SBLC MT760 or shipping company confirmation of Freight Charges, loading commence as schedule and seller issues to buyer the full set of POP documents and 2% PB (Performance Bond) and full set of POP documents including SGS report by Bank to Bank Swift and by email to buyer. 8. Seller issue Full Proof of Product (POP). Full POP shall consist of the following: a) Copy of License to export issued by Russian Ministry of Energy b) Copy of approval to export from Russian Ministry of Justice c) Copy of Statement of availability of Product d) Copy of Refinery commitment letter to supply e) Copy of TRANSNEFT contract to transport product to Port f) Copy of Charter Party Agreement to transport the product to discharged Port g) Copy of tank storage receipt h) Copy of DIP TEST AUTHORITY i) SGS report from loading port j) Bill of Lading k) Insurance Certificate 9. Loading for shipment to commence within 10 days after Seller receive the Buyer unconditional SBLC/BG-MT760. 10. At the discharged Port, Buyer makes payment via TT/MT103 to Seller against shipping documents and title transfer. 11. Product is discharged into Buyer's storage facility/vessel. 12. Seller pays commissions to all intermediaries within 24 hours after receiving payment from Buyer.
