NON-COMPLIANCE PENALTY
I. If the buyer fails to issue the bank instrument the seller has full right to fine Penalty 2% of the full shipping value shall be paid
II. If the sellers fail to ship the goods as per contract ninety (90) days a fee equal to two percent (2%) of the full shipment value shall be paid.

FULL CORPORATE OFFER
WE, Supplier hereby state and represent that we confirm with full corporate responsibility intention to enter into a Contract with Buyer of Copper Cathodes (Grade A: 99:99%) Under this Agreement signed and sealed with the Buyer, and conditions set forth herein, as follows;

4. TOTAL QUANTITY: Trial Order 1000
Grade A: 99.99% and as defined in Schedule A & B (1000-20,000)
5. TERMS OF DELIVERY: CIF Port IncoTerms2010
6. PRICE: US $ 3, 500 per tonne
7. PAYMENT: This transaction will be done via 10% SWIFT MT-103 Advance Payment after view of Product in the DRC before exportation and 90% irrevocable Non- transferable negotiable Confirmed Letter of Credit (MT-700). The confirmation will be at the sellers expense.
8. INSPECTION: SGS and/or any International Assayer
9. PROCEDURE: i.) Buyer sends an Irrevocable Corporate Purchase Order ii.) Seller sends the Buyer a draft Sales and Purchase Agreement (SPA) iii.) Once both parties have reviewed the SPA, it will be signed after which the Buyer or Buyers representative should travel to the DRC to view the goods and confirm, after which, the Buyer will transfer the 10% Advance Payment and Open the MT- 700, which will then be confirmed by the Sellers Bank iv.) Seller arranges and delivers the whole consignment to Durban, SOUTH AFRICA, where the cargo will then proceed to the Port of Loading and issuance Bill of Lading will be done and onwards to Port of Destination. and Quantitative Inspection done at the Port. v.) Seller and Buyer containerizes the cargo and the consignment is shipped out.
